 The firm's Business and Finance Department provides comprehensive representation and counseling to a diverse and extensive group of financial institutions, corporations, partnerships and other business entities. We regularly represent and counsel business clients in structuring and organizing business entities, mergers and reorganizations, sale and acquisition transactions, financing through public and private offerings of equity and debt securities, assisting with compliance with federal, state and local laws and regulations, and other commercial and contractual matters. In our role as general counsel to many clients, we pride ourselves on obtaining an in depth knowledge of their businesses so that we can provide advice and guidance intended to avoid legal problems. Members of the Business and Finance Department of Cohn Birnbaum & Shea also have expertise in the areas of federal and Connecticut taxation, with focus on tax issues associated with complex corporate and real estate transactions. Members of the Business and Finance Department regularly advise individuals, corporations and partnerships with regard to the purchase and sale of businesses, the structuring of pensions and other employee benefits, and the structuring of partnership and joint venture agreements. Our Business and Finance Department has also been actively involved in the representation of radio and television broadcast businesses as well as cable television operators. We have represented broadcast and cable television businesses in a wide range of transactional and other legal matters. We have worked with broadcast and cable television clients to complete acquisitions and sales involving stations and systems in all areas of the country. We regularly counsel such clients on a variety of matters including organizational matters, equity and debt financings, local marketing agreements, program service and time brokerage agreements, talent agreements, tower and tower space leases, licensing and affiliation agreements.
